Terms of Service

1. Agreement to Terms

By accessing the services provided by Vekor AI, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you are prohibited from using our services.

2. Nature of Services

Vekor AI provides custom AI automation, CRM integration, and software development services. You acknowledge that our services are provided on an "as-is" basis. While we strive for accuracy and excellence in our deployments, AI technologies are evolving and inherently probabilistic. Vekor AI does not guarantee that AI-driven outcomes will be error-free or that they will achieve specific business results.

3. Payment & Billing

• Fees: All fees are outlined in your individual Statement of Work (SOW) or the chosen pricing plan on our website.
• Payment Terms: Monthly subscription fees are billed in advance. Setup fees, if applicable, are due upon execution of the contract.
• Late Payments: Failure to make timely payments may result in the suspension of access to the AI infrastructures and automations we manage for you.

4. Intellectual Property

• Client Deliverables: Upon full payment, you own the custom automation workflows, scripts, and configurations built specifically for your business.
• Agency Frameworks: Vekor AI retains ownership of all proprietary code libraries, pre-built templates, and internal AI frameworks used to facilitate our services. You are granted a non-exclusive, non-transferable license to use these frameworks as part of your integrated system for as long as your service agreement remains active.

5. AI Performance & Liability Disclaimer

The Client acknowledges that AI systems operate based on data provided and external API inputs (e.g., OpenAI, Anthropic).

• Output Accuracy: Vekor AI is not responsible for the accuracy, quality, or content of the output generated by AI models. You are responsible for reviewing and validating all AI-generated content before it is used in any business-critical capacity.
• Limitation of Liability: In no event shall Vekor AI be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use our AI automations, including but not limited to loss of data, loss of business revenue, or system downtime.

6. Client Responsibilities

You agree to:

• Provide all necessary API keys, credentials, and access to third-party software required for us to perform our services.
• Ensure that your use of our AI systems complies with all applicable local, state, and international laws, including data protection regulations.
• Notify us immediately if you suspect any security breach within your integrated systems.

7. Confidentiality

We agree to maintain the confidentiality of all proprietary business information shared with us for the purpose of this engagement. This obligation survives the termination of our services.

8. Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination, Vekor AI will provide assistance in offboarding, subject to an hourly service fee, to ensure you retain control of your integrated accounts.

9. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Your continued use of our services after such modifications constitutes your acceptance of the updated terms.
